NATURA – Cotton Products Manufacturing - Terms and Conditions
NATURA, as a company with over ten years of experience, have completed hundreds of projects for Advertising Agencies, City and Communal Offices, museums, food producers as well as shops and supermarkets. We send our products to most countries of the European Union as well as Australia and North America. Flexible offer, a wide range of products, high quality, low prices and honesty - these are the main principles that guide us in everything that we do. We cordially invite you to cooperate with us!
PRODUCTION
1. Orders are processed by: FPHU Natura Zenon Mizerek, NIP: 839-110-11-45, REGON: 771306130, ul. Bohaterów Westerplatte 64, 76-200 Słupsk ("NATURA").
2. These Terms and Conditions define the rules for the orders realisation by NATURA for our Clients.
3. Our cotton products are made in Poland. We cooperate with several trusted fabric wholesalers who import cotton or threads from EU and outside.
COTTON PRODUCTS
We guarantee to choose the best quality fabric available on our market. It is worth noticing that: FPHU Natura Zenon Mizerek’s cotton is an untreated fabric that may contain some flaws (dirt) or tiny knots. There might be difference in the way the material is woven which may result in the transparency of the fabric. The quality of the raw cotton fabric may vary from order to order. Different mechanical wrinkles can occur during production and rolling 280gsm FPHU Natura Zenon Mizerek colour cotton. These folds cannot be removed due to the nature of the fabric. As cotton is all-natural material, it does shrink in the wash and is rather susceptible to wrinkles. The products are all handmade, therefore there might be difference in size (+/ - 2cm) and shape of the bags within one order. The exact length of the handles cannot be guaranteed, and the difference might exceed (+ / -2 cm).
COLOUR OF FABRIC
The customers have to take into consideration that the colour of the fabric may slightly vary from the one presented on Natura’s website. The Clients have to note that the Pantone Chart is for guidance purposes only. All monitor displays vary and the colour of the fabric has no true representation of the colour chart provided. Pantone colours printed on paper look differently printed on fabric. Please request the fabric sample if you have precise specification regarding the colour. Please note that due to the colouring technique used by our fabric providers, the colour of the fabric may vary from order to order in terms of the shade.
LABELS
The customers who wish to have our care label sewn into the product, are advised to inform us about it when placing the order. Manufacturer’s care labels are free of charge.
PRODUCTS CARE
Our products are used as promotional products. It is advised to hand wash them in 30 C degrees.
SAMPLES

Natura offers a free of charge sample package that consists of up to 3 products. If there is a requirement for any additional samples afterwards, a charge will apply accordingly. As all our products are made to order we are unable to store every size, shape and colour of the bag. We will strive to send the nearest size available to your request though.
Natura also offers printed samples. This is helpful for those Clients that would like to know how the customised print would look like on the final product. This service cost 20€ net for 1 printing 1 colour on 1 project. Shipping cost is covered by the Client.
If there is specific request for the sample the client is asked to make a payment for prototype preparation. The price for this service is from 15€ net, depending on the complexity of the prototype.
ON-LINE PROOF
On-line proof is provided in order to present the artwork position and indicate the Pantone colours. The client is responsible for checking all proofs/artwork (including accuracy and layout)/specifications. Approved artwork cannot be amended. Colour variations are possible due to different monitor displays. Please order the printed sample if you have precise specification regarding the colour.
PRINTING SERVICES
The print on the textile differs from the one printed on any other medias and the results should not be compared. Water inks are absorbed by the fabric, what may cause the change of the printed colour. Within one batch of the products it is likely for the artwork to vary in the position on the products (+ / -1cm). It is due to the production process and the nature of the cotton fabric. The 280gsm cotton fabric is characterised by the raised diagonal lines. Rough texture may result in not 100% ink coverage. Due to loose weave of the 150gsm cotton fabric there might be tiny gaps in the artwork printed. The artwork is printed according to Pantone C Matching System and it is matched as accurately as possible. However due to nature of the textile products there is an allowance for tone difference between specified Pantone and the printed artwork. Print location changes after the item is placed in the bag.
Any complaints in regard to the above will not be accepted.
PRICES
Production and printing costs are determined on the quantity of items required and complexity of the order. Due to the global fluctuations in the cotton fabric prices, the quotation is valid only for 7 days from the date it was provided.
LEAD TIME
The lead time is approximately 7-14 working days from the time the pro-forma invoice has been settled (may change due to Bank Holidays in Poland), the on-line proof has been approved and the order placed. The delivery date of the ordered goods provided in the order acknowledgement is given as an approximate date and should not be treated as the final date. Please allow a tolerance of +/- 1-2 days for your order to reach you.
If there is a need for delivery by a specified deadline, this information should be included in the Order Form at the time of placing the order. At the time of providing the quote our team will recommend the final date by which the order should be placed at FPHU Natura Zenon Mizerek in order to meet the required deadline. Please note that due to the dynamic business in which we operate, if the order is not placed by the recommended date, the delivery time will change and we will not be able to guarantee the previously quoted timeline.
COLLECTING PERSONAL DATA
We only collect personal information that is used in ordering process such as: name, address, contact telephone number, e-mail address. We do not sell, trade, or otherwise transfer to outside parties your personally identifiable information. This does not include trusted third parties, such as transport companies. We may release your information when we believe it is appropriate to comply with the law, enforce our policies, or protect ours or others rights, property, or safety.
PLACING AN ORDER
Every order is accepted only in writing, preferably via email. Each order should contain the name of the company, company’s tax identification number, company address, delivery address, telephone number, and the full name and email address of the individual placing an order.
The order should contain as many details as possible in regard to the goods being ordered. Please find the order form to download here.
ORDER ACKNOWLEDGEMENT
Before the production process begins the order acknowledgment is sent to the customer for the approval. The customer is advised to check all the information in the order acknowledgement as this is the summary of the order and it reflects the final product.
All orders are processed on the pre-payment basis. We provide Clients with order acknowledgement together with a pro-forma invoice. We are open to change the payment arrangements once we receive pre-payments for the first 3 orders, however we reserve the right not to agree to such arrangements.
Natura reserves the right to only start the production of ordered goods, once the payment for the order is settled and registered in our bank account.
After confirming the order, any changes to the accepted order and on-line proof will not be possible.
We reserve the right to not accept claims for refunds, if the sole reason for the refund is delay of products reaching the Client, especially if the reason for the delay is not Natura’s fault (deliveries).
CANCELLATION OF THE ORDER
The order can only be cancelled within one day from approving the order acknowledgement.
DELIVERY
In order to deliver the goods, the customer needs to provide us with the full name, delivery address and the contact telephone number. All the details are passed on to the courier. Delivery prices are based on the weight of the consignment. We will strive to ensure that your items will leave the factory on or before the dispatch date specified. As soon as the parcel has been dispatched the customer will be provided with the tracking number. We cannot be held responsible for goods lost or delayed by the courier company, however, we always try to help to resolve any issues that arise.
The Customer is kindly asked to inspect the condition of packaging on the receipt and report to a courier and Natura if any damages have occurred during transit. If possible, pictures of the packaging need to be taken for further UPS investigation. If there is no-one in attendance to authorise receipt of the package, the delivery agent will leave a card and return the package to the depot where it will be held until instructions to re-deliver are provided. If no instructions are provided within 5 days, the package will be returned to sender.
There is a possibility to use other courier that UPS, however, this should be communicated at the time of placing order.
Delivery cost is borne by the Client.
REVIEWS AND COMPLAINTS ON SOCIAL MEDIA
The penalty charge of €20,000 applies in case the supplier or co-operator wishes to give the false statements about Natura on any of the public or private media platform. It is charged per every single/individual piece of information or review given. It also applies to the false reviews or complains that are not true or appeared as a result of the dispute that is not Natura's fault. Also applies when the review or complaint that came up in the process of a deal that did not go in line with the agreement but is not Natura' fault and can be proven. All the reviews or complains left as a result of Natura’s fault are within the full right of anybody that may be potentially harmed by Natura as a result of Natura's negligence.
PAYMENT
The buyers are asked to make a payment of 100% of the value before the production process begins.

CUSTOMERS: FEEDBACK
We are open to hear how you feel about our cooperation and we use our customers’ feedback in order to act on the results.
COMPLAINTS
Any complaint regarding goods must be made in writing to us within 7 days from the date of delivery. Complaints exceeding this period are not accepted.
Only damaged goods or goods inconsistent with the accepted order by the Ordering Party shall be subject to complaints.
The complaint form should include:

The receipt date of the goods;

The number of faulty goods;

The subject of the compliant, and the details of the products and any faults they may have;

A proposal to solve the problem.
The delivery cost of the returned products is borne by Client.
RETURNED PRODUCTS
Natura have got the right to resell the products returned by the clients.
CLIENTS’ PRODUCTS
The goods that are left from the production line are used as samples during shows, trade fairs, photography sessions, in social media and for marketing purposes on our website www.natura.slupsk.pl. The clients are advised to inform us if they do not agree to this practice. Natura have not got a right to resell them.
Natura has the right to include in its advertising materials information about the service provision to the Customer, unless the signed contract states otherwise.
The Customer declares that they have acquired and/ or own proprietary copyrights and any other related intellectual rights and trademarks of the ordered products or graphics that are ought to be placed on the products. The Ordering Party also declares that the order do not infringe the rights of third parties and do not constitute as unfair competition. If the dispute arises, the Customer shall be fully liable for any damages in the event that any claims are raised against Natura by third parties in relation to the goods ordered. The Customer undertakes to satisfy these claims directly or reimburse Natura the equivalent of the amounts claimed by third parties, and any legal cost that resulted in the legal dispute.
The Customer authorises Natura to exercise proprietary copyrights and any related rights as referred above, to the full extend in which it is entitled to these rights, only for the purpose of producing the ordered goods.
PRIVACY POLICY
All the website content is the property of FPHU Natura Zenon Mizerek. Any misuse, damaging actions or use of the FPHU Natura Zenon Mizerek` content in order to obtain financial benefits will be treated as theft. All the above will be followed by the legal action in order to recover the cost of €2,000 for each individual item. However, the use of the content is permitted on request. Also, no actions will be taken against customers who wish to use the content as a product sample representation.
EUROPEAN LABOUR LAW
FPHU Natura Zenon Mizerek acts in the accordance to the European Employment Law which covers such areas as: conditions of employment (working time, posting of workers, discrimination, equal pay and the protection of pregnant workers); protection of personal data; free movement of workers; equal treatment; family friendly rights; health and safety - working times.
ADDITIONAL INFORMATION
1. In the case of the realisation of orders by NATURA for the benefit of Customers, NATURA's liability under the warranty for defects is excluded.
2. NATURA's liability for the realisation of orders for customers is each time limited to the amount of a given order.
3. The provisions of these Regulations do not apply to contracts concluded by NATURA with consumers within the meaning of the provisions of the Act of 23 April 1964 - Civil Code (przepisów ustawy z dnia 23 kwietnia 1964 roku – Kodeks Cywilny)
4. NATURA reserves the right to amend these Regulations. The change is made by placing new content on the website https://www.natura.slupsk.pl/terms-conditions-shop.
5. If individual provisions of the Regulations become invalid for any reason, this does not affect the validity of the remaining provisions of the Regulations.
6. Disputes arising between NATURA and the Client will be settled by the common court having jurisdiction over the NATURA seat.
